Targetti Group: The Board of Directors convenes the shareholders to an Ordinary and Extraordinary General Meeting on 29th April 2004.

Meeting today in Florence, the Board of Directors of Targetti Sankey S.p.A. convened the company’s shareholders to an Ordinary and Extraordinary General Meeting at 11.00 a.m. on 29th  April 2004 (second convocation on 30th  April 2004), defining also the agenda for the meeting.
 
The items on the agenda for the Ordinary General Meeting concern the following: approval of the Balance Sheet and Statement of Income for the year, distribution of dividend, election of the new Board of Statutory Auditors and determination of their emoluments, presentation of the consolidated balance sheet, nomination of the external auditors of the Balance Sheet and Statement of Income and of the Consolidated Financial Statement for the three-years period 2004-2006, and authorization for repurchasing and disposition of the company’s own shares.
 
The Extraordinary General Meeting is to deliberate on partial amendment to the Articles of Incorporation in order to meet the amendment of Italian Business Law..
 
The draft financial statements for 2003 is to be approved by the Board of Directors on 30th  March 2004.
